📜 Binding Agreement
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, "Customer", "User", or "you") and ToolMatrix360 ("ToolMatrix360", "we", "our", or "us").
By accessing, browsing, or utilizing toolmatrix360.com, its subdomains (notably our enterprise cloud SaaS platform at app.toolmatrix360.com), APIs, or browser-based utilities, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

ToolMatrix360 operates a dual-tier technology ecosystem:
⚡ Free Everyday Utility Tools
A suite of 50+ browser-based tools including PDF splitters/mergers, image format converters, text formatting utilities, developer code generators, regex testers, and SEO audit tools on toolmatrix360.com. Provided free of charge with client-side execution.
🚀 Premium B2B AI SaaS Platform
Enterprise cloud software available at app.toolmatrix360.com offering autonomous AI lead qualification, real-time intent intelligence, enrichment pipelines, team collaboration workspaces, and CRM webhook routing.
🔐 2. Account Registration & Workspace Security
While our free utility tools require no account registration, accessing our B2B SaaS platform requires creating a user workspace:
- Accurate Credentials: You agree to provide true, accurate, current, and complete registration information and keep it updated.
- Credential Safeguarding: You are responsible for safeguarding your login credentials and for all activities that occur within your workspace. You must notify us immediately at support@toolmatrix360.com if you suspect unauthorized access.
- Enterprise Administration: Workspace administrators are responsible for managing member seats, invitees, role permissions, and API key permissions within their team account.
💳 3. Subscriptions, Credits & Billing Terms
Access to our enterprise AI engines is sold on a paid subscription and credit basis. By subscribing or making an add-on purchase, you agree to the following billing terms:
Billed on a recurring 30-day cycle. Auto-renews until canceled.
Billed every 6 months with pre-applied multi-month discount.
Billed every 12 months with maximum annual tier savings.
Seat Add-ons & One-Time Credit Packs
- Extra Member Seats: Additional team seats can be added to any active workspace for $10/month per seat. Extra seat fees are prorated to match your current subscription cycle and renew automatically.
- Extra Credit Packs: When high-volume lead qualification requires more credits than your base plan quota, you may purchase one-time Extra Credit packs priced at $20 for 1,000 credits.
- Credits Never Expire: One-time purchased extra credits roll over continuously and never expire as long as your workspace account remains active.
Merchant of Record & Processors: We partner with certified payment gateway providers—Lemon Squeezy (acting as Merchant of Record for global checkout and tax compliance) and Stripe. ToolMatrix360 does not store raw credit card numbers or payment credentials on its servers.
Automatic Renewal: All recurring subscriptions (Monthly, Half-Yearly, Annual, and Extra Member Seats) automatically renew at the conclusion of each billing period unless canceled beforehand via your billing dashboard.
Taxes: All quoted prices are in USD ($) and are exclusive of applicable Value-Added Tax (VAT), Goods and Services Tax (GST), or state sales tax, which will be calculated and collected automatically at checkout where required by law.
Failed Payments: If an automatic renewal payment fails, we will attempt to re-bill the saved payment method. If the balance remains unpaid after a 7-day grace period, we reserve the right to downgrade workspace access or suspend paid AI compute features.
🛡️ 4. Acceptable Use Policy
You agree to use ToolMatrix360 strictly in compliance with all applicable local, national, and international laws. You expressly agree that you will NOT:
- Engage in unauthorized web scraping, DDoS attacks, or automated actions that disrupt, degrade, or overload our infrastructure.
- Reverse engineer, decompile, disassemble, or derive the source code of our proprietary AI models, frontend scripts, or backend routing algorithms.
- Resell, sublicense, distribute, or provide white-label access to ToolMatrix360 without our explicit written commercial partnership agreement.
- Utilize our AI lead qualification tools to harvest or distribute unauthorized personal data in violation of CAN-SPAM, GDPR, CCPA, or applicable electronic messaging laws.
- Upload documents or files containing viruses, Trojan horses, malware, or illicit contraband.
- Attempt to bypass rate limits, credit balance restrictions, or security authentication tokens.
💡 5. Intellectual Property Rights & Customer Data
- Customer Data Ownership: You retain 100% full legal ownership, title, and intellectual property rights in all data, prospect lists, documents, and content you upload or process through ToolMatrix360. We claim no intellectual property rights over customer data.
- ToolMatrix360 IP: ToolMatrix360 and its licensors retain all right, title, and interest in and to the platform, including all software, source code, logos, UI designs, brand marks, and documentation. You receive a limited, revocable, non-exclusive license to use the platform in accordance with your subscription plan.
⚖️ 6. Warranty Disclaimers & Limitation of Liability
Disclaimer of Warranties: TOOLMATRIX360, INCLUDING ALL FREE TOOLS AND ENTERPRISE SAAS SERVICES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOOLMATRIX360, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE.
Monetary Cap: IN NO EVENT SHALL TOOLMATRIX360'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER TO TOOLMATRIX360 IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
🏛️ 7. Termination, Governing Law & Dispute Resolution
- Termination by Customer: You may cancel your subscription at any time via your self-service billing dashboard. See our Refund & Cancellation Policy for full details.
- Termination by ToolMatrix360: We may terminate or suspend your access immediately, without prior notice, if you breach any material provision of these Terms.
- Dispute Resolution: Before initiating any formal legal proceeding, you agree to contact us at support@toolmatrix360.com to attempt in good faith to resolve the dispute informally.
